Floot Starter Kit License Agreement
Last updated
TL;DR
One seat, one person: each seat licenses one named member of your organization on up to three active devices.
Yours to keep: every release a seat was entitled to during its update window stays usable forever. Update packs extend the window by a year, or for life.
Your apps are yours: ship what you generate, commercially and without limit. Just don't redistribute the kit itself.
This summary is not part of the Agreement. The text below is.
Parties
This License Agreement ("Agreement") is entered into by and between Boring Software OÜ, a private limited company registered in the Estonian Commercial Register under registry code 17627654, with its registered address at Tartu mnt 67/1-13b, 10115 Tallinn, Estonia, trading as Floot ("Licensor"), and the Organization that buys seats ("Licensee" or "you"). If you buy seats for a company or another legal entity, you accept this Agreement on its behalf and confirm that you may do so.
By downloading, accessing, or using the Kit, you agree to be bound by this Agreement.
1. Definitions
- Kit: the Floot starter kit, in every release, including its source code, templates, and documentation.
- Floot CLI: the free command line tool that registers devices, downloads releases, and generates projects from them. It is licensed separately, under the Floot CLI License Agreement.
- Organization: the organization in the Floot web app that owns the seats, together with the person or legal entity it stands for.
- Billing admin: a member of the Organization allowed to manage its billing in the Floot web app.
- Seat: a purchased unit of this license, owned by the Organization. One seat licenses one person on up to three active devices.
- Seat binding: the link between a seat and one member of the Organization. A member is bound on their first license request from the Floot CLI in that Organization, or by a billing admin. A person holds at most one seat binding per organization.
- Device: a machine registered under a seat through the Floot CLI. At most three devices are active per seat at any time. A revoked device stops counting.
- Release: a published version of the Kit, delivered as encrypted bundles and dated by its entitlement date.
- Updates-through date: a seat's entitlement horizon. A seat is entitled to every release whose entitlement date is on or before it. A lifetime seat's updates-through date never passes.
- Update window: the time before a seat's updates-through date, during which new releases become entitled to the seat.
- Update pack: a one-time purchase that extends one seat's updates-through date, either by twelve months from the later of its current updates-through date and the purchase date (yearly pack), or for life (lifetime pack).
- Entitled release: a release whose entitlement date is on or before a seat's updates-through date.
- License lease: a short-lived signed grant that a device holds and the Floot CLI renews automatically, proving that the device may decrypt the bundles of its seat's entitled releases.
- Generated project: a project the Floot CLI produces from a release, and every copy, modification, and build of it.
2. Grant per Seat
For each seat the Organization owns, and subject to this Agreement, Licensor grants the Organization a worldwide, non-exclusive, non-transferable, and non-sublicensable license allowing the person bound to that seat to:
- Download every entitled release with the Floot CLI and use it on up to three active devices.
- Use, copy, and modify the Kit to create generated projects, for personal or commercial purposes, without limit on their number.
A seat licenses one person and cannot be shared between people. Anyone else who downloads releases or generates projects needs a seat of their own.
3. The Organization's Seats
Seats belong to the Organization, not to the people bound to them.
- A billing admin may bind any member of the Organization to an unbound seat, and may unbind a seat at any time, for instance when someone leaves the team. A seat is also unbound when its member leaves the Organization.
- When a seat is unbound, the former member's right to use the Kit under it ends. The seat keeps its updates-through date and its entitled releases, and passes them to the next member bound to it.
- A device can be revoked from the Floot web app to free its place under the seat. Licensor may limit how often a seat registers new devices, so that the three-device limit keeps its meaning.
4. Perpetual Use
The license to an entitled release is perpetual. When a seat's update window ends, the seat stops receiving new releases, but nothing already entitled to it is taken back or disabled.
An update pack bought for a seat extends that seat's updates-through date, so every release whose entitlement date falls on or before the new date becomes entitled to it too.
Using a release with the Floot CLI requires a current license lease, which the Floot CLI renews automatically while the device is registered and the seat is bound. Generated projects never require one.
5. Generated Projects
Generated projects are the Organization's to ship. You may use, modify, deploy, distribute, and sell the apps and services you build from them, in compiled or deployed form, commercially and without limit on their number, and anyone you engage may work on them.
You own what you add to a generated project. The Kit code it contains stays Licensor's, licensed to you perpetually for use in that project, and section 6 applies to it.
6. Restrictions
Licensee agrees not to:
- Resell, redistribute, sublicense, or share the Kit, alone or within a generated project's source code, as a standalone product, starter kit, or template.
- Use the Kit to create a competing starter kit, boilerplate, or template.
- Upload the Kit or its substantial parts, including a generated project's source code, to an open-source platform (e.g. GitHub) or any other public repository. Shipping a generated project's compiled app or deployed service is not publishing its source.
- Remove or obscure any proprietary, copyright, or licensing notices included in the Kit.
- Circumvent, or help anyone circumvent, the device limit, the license lease, or the encryption of a release's bundles, including by sharing a device's keys or a seat's access with another person.
7. Ownership
All intellectual property rights in the Kit remain with Licensor. This Agreement does not transfer any ownership; it only grants the license described in it. All rights not expressly granted are reserved.
8. No Guarantee of Results
The Kit offers a technical foundation, but:
- Licensor makes no promises regarding your success, profitability, or operational performance.
- Licensee bears full responsibility for development, marketing, legal compliance, deployment, and security.
- Business outcomes are not grounds for a refund or other compensation. This does not affect any right described in section 12 or in Licensor's terms of sale.
9. Warranty Disclaimer
THE KIT IS PROVIDED "AS IS," WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
THIS INCLUDES, BUT IS NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10. Security Disclaimer
- You are solely responsible for assessing, securing, and deploying your application.
- Licensor does not guarantee that the Kit is free from vulnerabilities, bugs, or integration issues.
- Licensor is not liable for any damages, including data loss, security breaches, downtime, or regulatory infractions, resulting from the use of the Kit.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES INCLUDING, BUT NOT LIMITED TO:
- Lost profits or business interruption.
- Security flaws or breaches.
- Issues arising from third-party integrations.
- Modifications made by the Licensee.
IN ANY EVENT, LICENSOR'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT THE ORGANIZATION PAID FOR ITS SEATS AND UPDATE PACKS.
Nothing in this Agreement limits or excludes liability for intentional or grossly negligent breach, or any other liability that cannot be limited or excluded by law.
12. Consumer Rights
If you are a consumer, meaning a natural person acting for purposes outside your trade, business, craft, or profession, and you live in the European Union:
- Nothing in this Agreement deprives you of the protection of the mandatory provisions of the law of your country of residence, including your statutory rights regarding digital content.
- Sections 8 to 11 apply to you only as far as that law permits.
- You may bring proceedings in the courts of your country of residence, and Licensor may bring proceedings against you only there.
13. Governing Law and Courts
This Agreement, and any dispute arising out of or in connection with it, is governed by the laws of the Republic of Estonia. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to section 12, any dispute shall be subject to the exclusive jurisdiction of Harju County Court (Harju Maakohus), Estonia.
14. Entire Agreement
This Agreement, together with Licensor's terms of sale under which seats and update packs are bought, constitutes the entire understanding between the parties regarding the Kit and supersedes all prior communications, representations, or agreements, oral or written, regarding its subject matter.

Floot CLI License Agreement
Last updated
This License Agreement ("Agreement") is between Boring Software OÜ, a private limited company registered in the Estonian Commercial Register under registry code 17627654, with its registered address at Tartu mnt 67/1-13b, 10115 Tallinn, Estonia, trading as Floot ("Licensor"), and you ("Licensee"), regarding the Floot CLI (the "Software").
The Software is the Floot command line tool and its engine, in every form Licensor publishes them: compiled builds, installer scripts, and the floot_cli and floot_engine packages. The Floot starter kit it downloads and generates projects from is not part of the Software; it is licensed per seat, under the Floot Starter Kit License Agreement.
By installing, accessing, or using the Software, you agree to the following terms.
1. Grant of License
Licensor grants Licensee a free of charge, worldwide, non-exclusive license to install and use the unmodified Software, on any number of machines, for any purpose.
2. Redistribution
Licensee may copy and redistribute builds of the Software exactly as Licensor publishes them, including through package managers and mirrors, provided that each copy is complete and unmodified, includes this Agreement, and keeps every proprietary, copyright, and licensing notice intact.
3. Restrictions
Licensee shall not:
- Modify the Software, or build, use, or distribute a modified version of it.
- Reverse engineer, decompile, or disassemble the Software, except to the extent the applicable law expressly permits it despite this restriction.
- Circumvent, or help anyone circumvent, the Software's licensing, including its device registration, its license lease, its signature checks, and the encryption of the starter kit's bundles.
- Remove or obscure any proprietary, copyright, or licensing notices included in the Software.
4. Ownership
All rights, title, and interest in the Software remain with Licensor. This Agreement does not transfer ownership. All rights not expressly granted are reserved.
5. Contributions
Any contributions to the Software (including code, feedback, or feature requests) shall become the property of Boring Software OÜ unless otherwise agreed in writing. Where the law does not allow a right to be transferred, Licensee grants Boring Software OÜ a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate the contribution. In either case, no additional compensation or attribution is owed unless explicitly stated.
6. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE SOFTWARE.
Nothing in this Agreement limits or excludes liability for intentional or grossly negligent breach, or any other liability that cannot be limited or excluded by law.
8. Consumer Rights
If you are a consumer, meaning a natural person acting for purposes outside your trade, business, craft, or profession, and you live in the European Union:
- Nothing in this Agreement deprives you of the protection of the mandatory provisions of the law of your country of residence.
- Sections 6 and 7 apply to you only as far as that law permits.
- You may bring proceedings in the courts of your country of residence, and Licensor may bring proceedings against you only there.
9. Governing Law and Courts
This Agreement, and any dispute arising out of or in connection with it, is governed by the laws of the Republic of Estonia. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to section 8, any dispute shall be subject to the exclusive jurisdiction of Harju County Court (Harju Maakohus), Estonia.
10. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the Software and supersedes all prior communications, representations, or agreements, oral or written, regarding its subject matter.
