Terms of service

Last updated

These terms apply to every purchase of Floot seats and update packs. Please read them before you buy: at checkout you are asked to accept them.

1. Who sells

Floot is sold by Boring Software OÜ, a private limited company registered in the Estonian Commercial Register under registry code 17627654, with its registered address at Tartu mnt 67/1-13b, 10115 Tallinn, Estonia, trading as Floot ("we", "us").

Questions about a purchase go to support@floot.dev. Our full company details are on the legal notice.

2. What these terms cover

You buy in the Floot companion app at app.floot.dev, for an organization you belong to, and you pay on Stripe's checkout page. "You" means that organization and the member who buys for it. A billing admin, a member allowed to manage the organization's billing, buys for it.

What a purchase lets you do with the Floot starter kit is set out in the kit license, which is part of the contract formed by your purchase. The Floot CLI, which you use to download releases and generate projects, is free and licensed separately under the CLI license. How we handle personal data is set out in the privacy policy.

3. What we sell

Every purchase is a one-time payment. Nothing recurs, nothing is charged again, and no card is saved for later.

  • Seat: one person of your organization, bound to the seat, may use the kit on up to three active devices. A new seat's updates-through date is twelve months after the purchase, and the seat is entitled to every release whose entitlement date is on or before it. You may buy several seats at once.
  • Yearly update pack: extends one seat's updates-through date by twelve months, counted from its current updates-through date or from the purchase, whichever is later.
  • Lifetime update pack: makes one seat entitled to every future release.

You may buy packs for several seats at once, one pack per seat.

A seat keeps every release it was entitled to forever, even once its updates-through date has passed. The seats belong to the organization, which can bind and unbind its members to them as the kit license describes. If the organization's owner deletes it, its seats are deleted with it and cannot be restored.

4. Prices and payment

The price of each product is shown before you pay, in the companion app and on Stripe's checkout page. Prices are set in US dollars. If Stripe's checkout page shows the price converted into your local currency, the amount and currency it shows are what you are charged. No VAT or other tax is added, as we are not registered for VAT. A promotion code, where we offer one, is applied on the checkout page.

Payment is made by card on the checkout page of Stripe, our payment provider. We never see your card number.

5. Delivery

A purchase is delivered as soon as Stripe confirms your payment: the seats are added to your organization, or each update pack is applied to the seat you chose for it, usually within moments. You then download the releases a seat is entitled to with the Floot CLI, after signing in and registering your device.

6. Your right of withdrawal

If you buy as a consumer in the European Union, you normally have the right to withdraw from a contract made at a distance within 14 days, without giving a reason.

For digital content that is not supplied on a physical medium, that right ends once supply has begun, if you expressly agreed that supply would begin during the withdrawal period and acknowledged that you would lose the right. Because a purchase is delivered as soon as you have paid, Stripe's checkout page asks you to tick this statement before you can pay:

I agree to the Terms of Service. I request immediate delivery of the digital content and acknowledge that I thereby lose my 14-day right of withdrawal.

By ticking it and paying, you request immediate delivery, and you lose your right of withdrawal once the purchase is delivered. If you do not want to give up that right, do not complete the purchase.

The right of withdrawal does not apply to a purchase made for a business. Whether you buy as a consumer or not, your statutory rights if the digital content is not supplied or does not conform to the contract are not affected.

7. Confirmation

Once a purchase is delivered, we send an email to the account that opened the checkout, in that account's language. It confirms what was bought, the amount and the currency, and the consent and acknowledgement you gave at checkout with the time you gave them, and it links to these terms, the kit license and, when Stripe has issued one, Stripe's receipt.

8. License

Your use of the kit is governed by the kit license. It grants the rights each seat gives, keeps generated projects yours to ship without limit, and sets out what you may not do with the kit.

9. Liability

Our liability is as set out in the kit license: the kit is provided as it is, we are not liable for indirect or consequential damages, and our total liability is limited to the amount your organization paid for its seats and update packs.

Nothing in these terms limits or excludes our liability for intentional or grossly negligent breach, or any liability that cannot be limited or excluded by law. If you are a consumer, these limits apply to you only as far as the law of your country of residence permits.

10. Governing law and courts

These terms, and any dispute arising out of or in connection with them, are governed by the laws of the Republic of Estonia. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute is subject to the exclusive jurisdiction of Harju County Court (Harju Maakohus), Estonia.

If you are a consumer living in the European Union, you keep the protection of the mandatory provisions of the law of your country of residence, you may bring proceedings in the courts of that country, and we may bring proceedings against you only there.

11. Changes

The terms that apply to a purchase are the ones published here on the day you make it. When we change them, we publish the new version here with its date.
